(c) Neither the business to be transacted, nor the purpose of any regular or special meeting of the Board of Directors need be specified in the notice or waiver of such notice, of such meeting, unless otherwise provided in the articles of incorporation or the by-laws. (a) The officers of a corporation shall consist of a president, a secretary, and a treasurer, and may include 1 or more vice-presidents, and such other officers and assistant officers as may be deemed necessary, each of whom shall be elected or appointed at such time and in such manner and for such terms not exceeding 3 years as may be prescribed in the articles of incorporation or the by-laws. (1) In the absence of any such provision, all officers shall be elected or appointed annually by the Board of Directors. (2) If the by-laws so provide, any 2 or more offices may be held by the same person, except the offices of president and secretary. (b) The articles of incorporation or the by-laws may provide that any 1 or more officers of the corporation or other organizations shall be ex officio members of the Board of Directors. (c) The officers of a corporation may be designated by such other titles as may be provided in the articles of incorporation or the by-laws. (a) Any officer or agent elected or appointed may be removed by the persons authorized to elect or appoint such officer or agent whenever, in their judgment, the best interest of the corporation will be served thereby, but such removal shall be without prejudice to the contract rights, if any, of the person so removed. Section 36-24 Books and Records 36-24.01 Books and Records. (a) Each corporation shall keep correct and complete books and records of account and shall keep minutes of the proceedings of its members, Board of Directors, and committees having any of the authority of the Board of Directors; and shall keep at its registered office or principle office on the Reservation, a record of the names and addresses of its members entitled to vote. (b) All books and records of a corporation may be inspected by any member having voting rights, or his agent or attorney for any proper purpose at any reasonable time. (a) A corporation organized under this Chapter shall not authorize or issue shares of stock. (b) No dividend shall be paid and no part of the income of a corporation shall be distributed to its members, directors, or officers.
